More than a few deep breaths happened last week with news that Bernaud Arnault and the LVMH board were meeting in Paris about how to proceed with its acquisition of Tiffany & Co. Fresh on the demise of Sycamore Partners acquisition of Victoria’s Secret, there was major reason for concern.
Rumors ran rampant that LVMH was weighing the coronavirus impact on its deal, one held up earlier in the year by regulators in Australia. That meeting seemed to be very reasonable considering the huge hit retail — including the luxury market — has taken in the pandemic.
Except that Tiffany & Co was not in violation of its legal obligations under the merger agreement. After weighing all the legal hurdles involved in renegotiating the buy price of the deal, LVMH decided not challenge any terms at present. This is no guarantee that LVMH won’t revisit the price of its purchase in the future, based on new conditions. But the waters are calm for now.
